Terms of Service

Last updated: October 16, 2026

1. Agreement to Terms

These Terms of Service ("Terms") are an agreement between you and Checks & Balances AI, Inc., a Texas corporation ("we," "our," or "us"). They cover Checks & Balances AI at checksbalances.ai, our web app, and our iOS and Android apps (together, "the Service"). By using the Service you agree to these Terms. If you use it for a company, you agree for that company and confirm you may bind it, and "you" includes the company. If you do not agree, do not use the Service.

2. Description of Service

The Service gives your company AI Managers: AI agents, each accountable for an area of the company, that keep your strategy, roadmap, decisions, and records current, research, draft documents and other work, and do scheduled work. When you allow it, they also take actions for you in tools you connect and in websites through a browser we run. A signed order form or pilot agreement with us, if you have one, takes priority over these Terms where they differ.

3. User Accounts

To use certain features of the Service, you must:

  • Create an account with accurate and complete information
  • Be at least 18 years old
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or servers
  • Upload malicious code, viruses, or harmful content
  • Scrape, data mine, or extract data from the Service without permission
  • Impersonate any person or entity
  • Use the Service to generate content that is illegal, harmful, or violates third-party rights
  • Resell or redistribute the Service without authorization
  • Upload health information, payment card numbers, government ID numbers, or other data regulated by special laws (such as HIPAA or PCI DSS), which the Service is not built to protect to those standards

5. Intellectual Property

5.1 Our Intellectual Property

The Service, including its original content, features, and functionality, is owned byChecks & Balances AI, Inc. and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express permission.

5.2 Your Content

You own your content: what you and your company put into the Service, and the documents and other outputs the Service produces for you. You give us a limited license to host, process, and display it only as needed to provide and support the Service for you. We do not use your content to train AI models.

6. Confidentiality

Each of us will keep the other's non-public information confidential, use it only for this agreement, and protect it with at least reasonable care. Your content is your confidential information. This does not cover information that is public through no fault of the receiving party, already known to it, or independently developed. Either of us may disclose confidential information when the law requires, after giving notice where allowed.

7. AI-Generated Content

The Service uses artificial intelligence to generate recommendations, documents, and other work. You acknowledge that:

  • AI-generated content is provided for informational purposes and should not be the sole basis for business decisions
  • You are responsible for reviewing and validating any AI-generated recommendations before implementation
  • AI outputs may contain errors, inaccuracies, or biases
  • We do not guarantee the accuracy, completeness, or suitability of AI-generated content for any particular purpose

8. Actions AI Managers Take for You

When you connect a tool, keep a sign-in, or allow an AI Manager to act, you authorize it to read and change data in that tool or website for your company, within the permissions you grant. In particular:

  • You choose what to connect and which actions need a person's approval first. Actions you approve, or allow without approval, are treated as your company's actions.
  • You must have the right to connect each account and to let us use it, and your use must follow that service's terms.
  • We are responsible for running the Service as described and within the permissions and approvals you set. You remain responsible for reviewing approvals and for decisions you make based on the Service.
  • You can disconnect a tool, remove a kept sign-in, or stop work at any time.

9. Payment and Billing

Paid plans are billed per seat plus AI usage, as shown on our pricing page and at checkout. If you buy a plan:

  • You agree to pay the seat fees and usage charges shown at the time of purchase, plus applicable taxes
  • Usage is measured by the Service and shown to you; you can set a monthly spending cap
  • Payments are non-refundable except as required by law or as stated in our refund policy
  • We may change pricing with reasonable notice
  • Failure to pay may result in suspension or termination of your account

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF AI-GENERATED CONTENT
  • UNINTERRUPTED OR ERROR-FREE OPERATION

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM THESE TERMS OR THE SERVICE, UNDER ANY LEGAL THEORY (INCLUDING NEGLIGENCE), EVEN IF IT WAS TOLD SUCH DAMAGES WERE POSSIBLE.

OUR TOTAL LIABILITY ARISING FROM THESE TERMS OR THE SERVICE, FOR ALL CLAIMS TOGETHER AND UNDER ANY LEGAL THEORY, WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

These limits apply to the fullest extent the law allows and do not limit your obligation to pay fees owed or your obligations under Indemnification below. Only a signed order form or pilot agreement with us can change them.

12. Indemnification

You will defend, indemnify, and hold harmless Checks & Balances AI, Inc. and its officers, directors, employees, and agents against any third-party claim, and the resulting damages, losses, and costs (including reasonable attorney fees), arising from your content or data, the accounts and tools you connect, actions taken in the Service by you or at your direction or approval, or your use of the Service in breach of these Terms or the law. We will notify you of the claim and may choose to control its defense at your expense.

13. Termination

Either of us may end a paid plan if the other materially breaches these Terms and does not fix the breach within 30 days of written notice. We may suspend access right away, without notice, only where needed to stop illegal use, a security threat, or harm to others or the Service, and we will tell you why.

You may close your account at any time in Settings. After a paid plan ends, you have 30 days to export your content, after which we delete it as described in our Privacy Policy. Sections that by their nature should last (such as confidentiality, payment owed, and limits of liability) survive.

14. Changes to Terms

We may update these Terms. For material changes we will email account owners at least 30 days before they take effect, and update the date above. If you do not agree, you may end your plan before the change takes effect. Continuing to use the Service after that means you accept the new Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law rules.

16. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association, held in Austin, Texas. Either party may bring claims about intellectual property, or seek urgent relief such as an injunction, in the state or federal courts located in Travis County, Texas.

Claims may be brought only individually, not as a plaintiff or class member in any class, collective, or representative action, and the arbitrator may not combine claims of more than one customer. Each party waives any right to a jury trial. Any claim must be brought within one (1) year after it arose, or it is permanently barred.

17. Mobile Apps

If you get our app from the Apple App Store or Google Play, these Terms are between you and us, not Apple or Google. We alone are responsible for the app, its support, and any claims about it, including product liability, legal compliance, and intellectual property claims. Apple has no obligation to provide maintenance or support for the app; if the app fails to conform to any warranty, you may notify Apple for a refund of any purchase price, and Apple has no other warranty obligation. You confirm you are not in a country under a U.S. government embargo or on a U.S. list of prohibited or restricted parties. Apple and its subsidiaries are third-party beneficiaries of this section and may enforce it. You must also follow the store's own usage rules.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
